TaskCheckin – Terms and Conditions

Welcome to TaskCheckin. These Terms and Conditions (the “Terms”) form a binding agreement between you (“User,” “you,” or “your”) and TaskCheckin, Inc. (“TaskCheckin,” “we,” “us,” or “our”). By creating an account, verifying your mobile number, or using any part of the Service (defined below)—including receiving or replying to SMS messages—you agree to these Terms and our Privacy Policy (together, the “Agreements”). If you do not agree, do not use the Service.

1. Definitions

“Service” means the TaskCheckin software platform made available via web and native mobile applications, including the project and task management tools, the text-based AI Coach, and the twice-daily automated SMS reminder program.

“AI Coach” means the in-app assistant that can propose and, when you approve, initiate server-validated changes to projects and tasks.

“SMS Program” means the informational text messaging program (two nudges per day) delivered via third-party telecommunications providers.

“Quiet Hours” means the time window between 9:00 PM and 8:00 AM in your local time zone during which TaskCheckin does not send automated SMS.

“User Generated Content” or “UGC” means content you submit to or store in the Service (e.g., projects, tasks, notes, chat summaries).

“Subprocessors” means third-party service providers used to deliver aspects of the Service (e.g., Twilio, Stripe, OpenRouter).

2. Scope of Service; License; Eligibility

2.1 What the Service Is

TaskCheckin is a project-based to-do application with a friendly, text-based AI Coach and two automated SMS nudges per day to encourage task execution.

2.2 Strict Scope Limitation (What the Service Is Not)

TaskCheckin is not: (a) a habit tracker, (b) an integration hub, or (c) a social/goal-sharing platform. Requests for functionality outside this scope are out-of-contract. This limitation is material and helps prevent liability creep.

2.3 License to Use the Service

Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable, limited license to access and use the Service for your internal, personal productivity (or internal business) purposes only.

2.4 Eligibility and Account Verification

You must be 18 years or older (or the age of majority in your jurisdiction). Account creation requires a valid mobile number and one-time password (OTP) verification. You are responsible for maintaining accurate account information and the security of your credentials.

3. Plan Tiers; Limits; Acceptable Use

3.1 Plan Tiers and Enforcement

The Service is offered under tiered plans:

Central Enforcement. Limits are enforced centrally by the Service’s internal plan policy controls (PlanPolicyService). You agree that attempting to circumvent limits (e.g., via API or automation) is a material breach.

3.2 Acceptable Use Policy (AUP)

You agree not to: (a) reverse-engineer, copy, or modify the platform; (b) circumvent security measures or rate limits; (c) upload or transmit unlawful, harmful, or infringing content; (d) use automated means to overload or scrape the Service; or (e) exceed plan limits. We may suspend or terminate accounts for AUP violations.

4. User Content; IP; AI Data Use Restrictions

4.1 TaskCheckin IP

We retain exclusive ownership of the Service and all underlying intellectual property (software, architecture, designs, and documentation).

4.2 Your UGC and Limited License to TaskCheckin

You retain ownership of your UGC. You grant TaskCheckin a limited, worldwide, royalty-free, non-exclusive license to host, use, display, and process UGC solely to operate and improve the Service, including contextualizing AI Coach responses and storing SMS replies as contextual notes.

4.3 AI Training Prohibition (Transparency Commitment)

TaskCheckin will not use identifiable UGC (e.g., task titles, notes, chat transcripts) to train or refine internal or third-party AI models deployed for other users without your separate, express authorization. We may use anonymized, aggregated metrics (e.g., task completion rates, feature usage) for analytics and quality improvements.

5. AI Coach – Disclaimer and Responsibility for Changes

5.1 Not Professional Advice

The AI Coach is an organizational and motivational tool, not a substitute for professional planning, legal, financial, medical, or therapeutic advice.

5.2 Server Validation; Your Responsibility to Review

AI-suggested changes are validated server-side and returned with a human-readable summary. You are solely responsible for reviewing and accepting resulting changes to your tasks and projects. By proceeding, you accept the resulting state and agree that TaskCheckin is not liable for outcomes based on your inputs or reliance on AI suggestions.

5.3 Indemnity for AI-Driven Operations

You agree to indemnify and hold harmless TaskCheckin from claims, damages, or losses arising from your use of AI-generated suggestions, instructions, or approvals within the Service.

6. SMS Consent & Communication Policy (TCPA Compliance)

6.1 Prior Express Written Consent (PEWC)

By verifying your phone number and opting in to the SMS Program, you provide Prior Express Written Consent to receive automated, informational SMS at your registered number. Consent is not a condition of purchase. We maintain audit logs of consent capture (timestamp and consent language) for compliance.

6.2 Frequency; Type; Costs; Quiet Hours

• Frequency: Exactly two (2) automated, informational SMS per day.
• Type: Non-marketing reminders and short coaching prompts.
• Origin: Messages are sent via Twilio and other telecommunications carriers as needed.
• Rates: Standard carrier message and data rates may apply.
• Quiet Hours: We do not send automated SMS between 9:00 PM and 8:00 AM local time. In all cases, we endeavor to comply with the TCPA 8:00 AM–9:00 PM rule.

6.3 SMS Functionality Limitation (No State Changes via SMS)

Inbound SMS replies are not commands and do not create, modify, or delete tasks or account settings. Replies are captured only as contextual notes for the AI Coach. All task mutations must occur in-app for security and reliability.

6.4 Opt-Out and Help (Mandatory Disclosures)

• Text STOP to cancel; processing is immediate and confirmed by SMS.
• Text START to resume.
• Text HELP for assistance and contact details.
  A link to these Terms and to our Privacy Policy is displayed during opt-in and readily accessible from the Service.

6.5 Delivery; Third-Party Networks; Liability

SMS delivery depends on third-party carriers. We do not guarantee delivery and are not responsible for delays, failures, or device/network issues outside our control.

7. Fees; Billing; Auto-Renewal; Cancellation; Refunds

7.1 Pricing and Payment Processor

• Pro (Monthly): USD $9.99 per month
• Pro (Annual): USD $99.99 per year

Payments are processed by Stripe. You authorize recurring charges to your selected payment method.

7.2 Automatic Renewal Law (ARL) Compliance

By subscribing, you provide express affirmative consent to automatic renewal and recurring charges. For annual plans, we provide a clear pre-renewal notice before the billing date as required by law.

7.3 Cancellation – “Exclusively Online, At Will”

You may cancel any time online, via the same medium you used to enroll (your account dashboard). Cancellation is effective immediately, and no further charges will accrue.

7.4 Refund Policy

Except where required by law, refunds are not provided. For annual subscriptions canceled mid-term, service continues until the end of the paid period.

7.5 Taxes; Price Changes

Listed prices exclude applicable taxes. We may change prices with reasonable advance notice; changes take effect at the next renewal.

8. Term; Suspension; Termination; Data Management

8.1 Term and Suspension/Termination

These Terms apply from your first use of the Service and continue until terminated. We may suspend or terminate your access for non-payment, AUP violations, or other material breaches.

8.2 Data Retrieval and Deletion

Upon termination or upon request, we provide a reasonable means to export or retrieve your UGC (e.g., tasks, notes, summaries). We will delete or anonymize personal data upon written request, subject to legal retention obligations.

8.3 Required Retention

We may retain certain records for legal, financial, or compliance reasons (e.g., billing records and TCPA consent audit logs), notwithstanding deletion requests, for the duration required by law.

9. Privacy; Data Processing; Subprocessors

Your use of the Service is governed by our Privacy Policy, which describes what we collect (e.g., phone number, tasks/notes, logs/metrics), how we use and protect data, and your rights under applicable laws (e.g., GDPR/CCPA/CPRA).

We disclose the following essential Subprocessors:

• Twilio – SMS delivery and status tracking
• Stripe – payment processing and subscription management
• OpenRouter – access to AI models for the AI Coach (with PII minimization and redaction practices)

Where applicable, we act as a data processor of your UGC, processing data per your instructions and our Privacy Policy. A Data Processing Addendum (DPA) may be made available for qualified business customers.

10. Warranties; Disclaimers; Limitation of Liability; Indemnity

10.1 “As Is” Warranty Disclaimer

THE SERVICE (INCLUDING THE AI COACH AND SMS PROGRAM) IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

10.2 Limitation of Liability (LoL)

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TASKCHECKIN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION). OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO TASKCHECKIN IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10.3 Carriers; Third Parties

We are not responsible for acts or omissions of third-party carriers, networks, or subprocessors beyond our reasonable control.

10.4 Indemnification

You agree to indemnify, defend, and hold harmless TaskCheckin, its affiliates, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Service; (b) your breach of these Terms; (c) your UGC; or (d) your reliance on AI Coach suggestions and approvals.

11. Governing Law; Venue; Changes; Miscellaneous

11.1 Governing Law; Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. The exclusive venue for all disputes is the state or federal courts located in San Francisco County, California.

11.2 Changes to Terms

We may modify these Terms from time to time. If a change is material, we will provide reasonable advance notice (e.g., via email or in-product). Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

11.3 Assignment

You may not assign these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets.

11.4 Severability; Waiver; Entire Agreement

If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce a right is not a waiver. These Terms, together with the Privacy Policy and any referenced policies, constitute the entire agreement between you and TaskCheckin concerning the Service and supersede prior or contemporaneous agreements.

By using TaskCheckin, you acknowledge that you have read, understood, and agreed to these Terms (including the integrated SMS Consent & Communication Policy), and that you provide express affirmative consent to automatic renewal terms where applicable.
